Terms of Service

Welcome to ReadyCDL. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”, whether an individual CDL driver or an authorized representative of a motor carrier / fleet company) and I&U Smart Tech LLC (“Company”, “we”, “us”, or “our”), governing your access to and use of the ReadyCDL website, applications, and marketplace platform at readycdl.com (collectively, the “Platform” or “ReadyCDL”).

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING READYCDL. BY CREATING AN ACCOUNT, ACCESSING THE PLATFORM, OR CLICKING TO ACCEPT THESE TERMS, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.

1. Nature of the ReadyCDL Platform

ReadyCDL is an online technology marketplace designed to facilitate direct discovery, communication, and connections between licensed commercial drivers (“Drivers”) and commercial motor carriers or fleet operators (“Carriers” or “Fleets”).

2. Eligibility & Account Registration

• Age Requirement: You must be at least 18 years of age (or 21 years of age where interstate commercial driving is required) to use ReadyCDL.
• Driver Eligibility: Drivers must hold (or be actively in pursuit of) a valid Commercial Driver’s License (CDL Class A, Class B, or commercial permit) issued by a United States jurisdiction, and represent that all profile information is accurate.
• Carrier Eligibility: Carriers must be legally organized business entities authorized to conduct commercial motor carrier operations, possessing active USDOT and/or MC authority where applicable by federal or state law.
• Account Security: You are responsible for safeguarding your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access. Each account is limited to one role (Driver or Carrier) and cannot be transferred.

3. Qualifications & Carrier Due Diligence

Self-Reported Information: All qualifications, driving experience, license classes, endorsements, equipment experience, route histories, safety records, and DOT/MC numbers displayed on ReadyCDL are supplied directly by members.

Carrier Responsibility: The hiring Carrier retains the exclusive legal obligation to verify all driver credentials prior to hiring or dispatch, including but not limited to:

• Verifying commercial driver’s license validity and medical examiner certificates (DOT medical card).
• Obtaining official Motor Vehicle Records (MVR) from state licensing agencies.
• Conducting required FMCSA Drug and Alcohol Clearinghouse queries and pre-employment testing.
• Performing mandated safety performance history inquiries with previous employers pursuant to 49 CFR Part 391.
• Ensuring full compliance with Federal Motor Carrier Safety Regulations (FMCSR).

ReadyCDL and I&U Smart Tech LLC do not warrant, endorse, or guarantee the accuracy, completeness, or roadworthiness of any user profile or candidate.

4. Driver Terms & Privacy Protection

• Free for Drivers: Profile creation, job searching, job applications, and driver-initiated messaging to published fleets are completely free for Drivers.
• Anonymous Driver Codes: Drivers are identified publicly and to searching fleets under an anonymous driver code (e.g., D-XXXXXX) to protect privacy from unsolicited spam.
• Contact Privacy: A Driver’s direct phone number and personal email address remain gated until a Carrier purchases authorized contact access or the Driver explicitly shares contact details.
• Accuracy Obligation: Drivers agree not to falsify endorsements, driving experience, CDL status, or identity.

5. Carrier Terms, Fees & Contact Access Purchases

• Contact Access Fees: Carriers may browse driver qualifications and publish job listings free of charge. To unlock a Driver’s direct phone number, personal email, and initiate outbound messaging, Carriers pay a one-time contact access fee (currently $29 per driver) or utilize subscription credits.
• Free Inbound Replies: When a Driver initiates an application or message directly to a Carrier’s published job or profile, the Carrier may reply in-app for free without paying a contact access fee. Direct off-platform contact details remain gated.
• Payment Processing: All payments are processed securely via Stripe. By providing payment details, you authorize I&U Smart Tech LLC (via Stripe) to charge the designated payment method.
• No Guarantee of Hire or Response: Unlocking contact access grants access to the contact details supplied by the Driver. It does NOT guarantee that the Driver will respond, attend interviews, pass background screening, accept an employment offer, or remain employed.
• Refund Policy: All contact access fees and credit purchases are final and non-refundable once access to the driver’s contact details has been provided, except where required by applicable law.
• Prohibition on Data Resale: Carriers agree to use unlocked Driver contact details solely for internal recruitment for genuine driving opportunities. You may not resell, publish, aggregate, or distribute Driver contact lists to any third party.

6. Prohibited Conduct

You agree not to:

• Use ReadyCDL for any unlawful purpose or in violation of federal, state, or local transportation laws.
• Post fraudulent, misleading, deceptive, or discriminatory job listings or profile claims.
• Harass, threaten, stalk, or send unsolicited commercial advertising (spam) to other users.
• Use automated scripts, bots, spiders, or scrapers to harvest data, driver lists, or job postings.
• Attempt to circumvent, bypass, or reverse engineer contact access gating, authentication, or payment systems.
• Introduce malware, viruses, or any code designed to disrupt or damage platform operations.
• Impersonate any person, business entity, or motor carrier.

7. Intellectual Property

The ReadyCDL platform, including its logos, visual design, user interface, brand assets, code, and documentation, is the exclusive property of I&U Smart Tech LLC and is protected by United States and international copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access the Platform for its intended recruitment and job-seeking purposes.

8. Termination & Account Suspension

I&U Smart Tech LLC reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate any account that violates these Terms, abuses the messaging system, engages in fraudulent activity, fails to maintain necessary commercial driving/carrier qualifications, or compromises the safety and trust of our community.

9. Disclaimer of Warranties

THE READYCDL PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY OF DRIVER/CARRIER DATA, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL OPERATE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL I&U SMART TECH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, VEHICLE DAMAGE, CARGO DELAYS, REGULATORY FINES, OR OTHER LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR INABILITY TO USE THE PLATFORM, OR ANY INTERACTION OR AGREEMENT BETWEEN DRIVERS AND CARRIERS.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00 USD) OR THE TOTAL AMOUNT PAID BY YOU TO READYCDL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless I&U Smart Tech LLC and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or legal fees arising out of or relating to: (a) your violation of these Terms; (b) your violation of any third-party right or applicable law, including FMCSA/DOT regulations; (c) any content, job posting, or qualification you submit; or (d) any employment, independent contractor, or transportation dispute between you and another user.

12. Governing Law & Jurisdiction

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State where I&U Smart Tech LLC is organized, without giving effect to any conflict of law principles. Any legal proceedings shall be brought exclusively in the courts of competent jurisdiction located in that State.

13. Modifications to Terms

We may modify these Terms at any time. When updates are published, we will revise the “Last updated” date at the top of this page. Continued use of ReadyCDL following any revisions constitutes your acceptance of the amended Terms.
